Your client, Jeff’s Sporting Goods (Jeff’s), has verbally agreed with the Hillcrest School District to be the exclusive supplier of boys and girls sports uniforms. The Hillcrest School District (Hillcrest) is composed of over 30 high schools, 40 middle schools, and 50 elementary schools. Each of the middle and high schools fields the full-range of sports teams, all requiring uniforms. Though Hillcrest is not yet sure of all its requirements regarding sports uniforms, Hillcrest wishes to place an order with Jeff’s for the following: 175 pairs of boys basketball shorts 350 pairs of athletic socks 175 pairs of boys basketball tank tops Hillcrest will pay to Jeff’s the following discounted prices: $15 per pair of basketball shorts $2.50 per pair of athletic socks $12.50 per pair of basketball tank tops The items are to be delivered by Jeff’s to the main administrative offices of the Hillcrest School District on August 23rd of this year. While Hillcrest is aware that this order will not completely fulfill the district’s sport uniform needs, it is not completely sure of what additional uniforms it will need and in what quantity. However, Hillcrest wishes to reserve the right to order at least up to 500 “single items” that “generally comprise” boys and girls uniform outfits for a variety of sports such as basketball, volleyball, and soccer. To that end, Hillcrest is willing to make an additional advance payment to Jeff’s of $10,000 in exchange for having the right to take delivery of such an additional order within 30 days after placing any such additional order with Jeff’s. The parties have agreed that Hillcrest will make such payment at the same time they make payment on the initial items specified above. Hillcrest agrees to make payment on these items within 14 days of the date that the contract is signed. Recognizing that the various teams will be at a great disadvantage if Jeff’s fails to produce the items pursuant to their agreement, Hillcrest would like Jeff’s to pay to Hillcrest, in the event of default or failure to abide by the terms of the contract, $20,000 in the event of a material breach of the agreement. Your contract should be very specific, detailed and should cover all terms agreed to by the parties.
